Terms of Service

By accessing or using any service provided by GVO Servers LLC ("Global Servers," "we," "us," or "our"), including virtual private server hosting, dedicated server hosting, and any related managed services (collectively, the "Services"), you ("Customer," "you," or "your") agree to be fully bound by these Terms of Service, our Acceptable Use Policy, our Privacy Policy, and any other policies incorporated herein by reference.

You represent and warrant that you are at least eighteen (18) years of age, have the legal capacity to enter into binding contracts, and are not barred from receiving the Services under applicable law. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that entity.

Global Servers reserves the right to update or modify these Terms at any time. We will provide notice of material changes by posting the revised Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any modification constitutes your acceptance of the revised Terms.

Global Servers provides virtual private server (VPS) hosting, dedicated server hosting, colocation services, and related managed services to customers worldwide. Our infrastructure is housed in Tier III+ data centers with 99.99% network uptime targets as described in our Service Level Agreement.

Global Servers reserves the right to modify, discontinue, or temporarily suspend any Service or feature at any time. Where practicable, we will provide advance notice of planned changes that materially affect existing customers. The Services are offered under various service plans with differing features, resource allocations, and pricing as described on the applicable product pages.

To access our Services, you must create an account by providing accurate, current, and complete information including your legal name, valid email address, billing address, and payment information. You agree to maintain and promptly update your account information at all times.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify Global Servers immediately at support@gvoservers.com upon becoming aware of any unauthorized access. We recommend enabling two-factor authentication (2FA) available in your client portal.

Each account may only be used by the individual or entity on whose behalf it is registered. Account sharing, multiple accounts to circumvent restrictions, and automated account creation are prohibited.

Services are billed on a prepaid basis, either monthly or annually as selected at checkout. All fees are quoted and charged in United States Dollars (USD). By providing payment information, you authorize Global Servers to charge your selected payment method for all fees due. Applicable taxes will be added to your invoice.

Services automatically renew for successive periods of the same duration unless you cancel before the renewal date. Global Servers will send a renewal notice at least seven (7) days prior to annual renewals. You may disable auto-renewal at any time from your client portal.

All invoices are due upon issuance. Outstanding balances unpaid for more than fifteen (15) days may incur a late fee of 1.5% per month on the outstanding balance. We accept Visa, Mastercard, American Express, Discover, PayPal, and ACH bank transfer. If payment fails and is not cured within seven (7) days, Global Servers reserves the right to suspend or terminate your Services.

Your use of Global Servers services is subject to our Acceptable Use Policy ("AUP"), available at gvoservers.com/acceptable-use-policy/, which is incorporated into these Terms by reference. You are solely responsible for all content, data, applications, and activity that occur under your account.

Any violation of the AUP may result in immediate suspension or termination of your Services at Global Servers' sole discretion. If your use adversely impacts the performance or stability of our infrastructure or other customers' services, we reserve the right to take immediate corrective action without prior notice.

You may not use our Services for any of the following:

• Any activity that violates applicable federal, state, local, or international law or regulation
• Sending unsolicited bulk email (spam) or operating open mail relays
• Unauthorized access to any system, network, or data including hacking or exploitation of vulnerabilities
• Uploading or distributing content that infringes any intellectual property rights of any third party
• Mining cryptocurrency or performing proof-of-work computation without prior written approval
• Hosting or distributing phishing pages, malware, ransomware, or any malicious code
• Conducting or facilitating DoS/DDoS attacks, network scanning, or traffic amplification attacks
• Hosting content that is unlawful, abusive, defamatory, obscene, or child-exploitative

Global Servers will report credible evidence of illegal activity to appropriate law enforcement agencies and may cooperate fully with any investigation.

Global Servers and its licensors retain all right, title, and interest in and to the Services, including all software, systems, interfaces, APIs, documentation, trademarks, and logos. Subject to your compliance with these Terms and timely payment of all fees, Global Servers grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business or personal purposes.

You retain all right, title, and interest in and to any data and content you upload, store, or process using the Services ("Customer Content"). You grant Global Servers a limited license to host, copy, transmit, and process Customer Content solely as necessary to provide and improve the Services.

Your use of Global Servers services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, share, and protect personal information you provide in connection with your use of the Services.

If you are subject to data protection regulations such as GDPR or CCPA and upload or process personal data of third parties, you may be acting as a "data controller" and Global Servers may be acting as a "data processor." Please contact support@gvoservers.com to request a Data Processing Agreement (DPA).

Global Servers targets 99.99% network uptime as described in our Service Level Agreement. Credits under the SLA are your sole and exclusive remedy for service outages. Scheduled maintenance windows performed with published advance notice do not constitute downtime for SLA purposes.

Global Servers shall not be responsible for failures caused by circumstances beyond our reasonable control, including acts of God, natural disasters, acts of war or terrorism, government actions, internet service provider outages, power failures from utility grid issues, or any other force majeure event.

Global Servers reserves the right to immediately suspend or terminate your account without prior notice if you have violated any provision of these Terms; your use poses a security risk; your account is subject to legal proceedings; your payment is overdue after the applicable grace period; or continued provision of Services would expose Global Servers to legal liability.

You may cancel your Services at any time through your client portal or by emailing billing@gvoservers.com. Cancellation requests must be received at least three (3) business days before the next billing date. Except as provided in our Refund Policy, all fees paid are non-refundable upon customer-initiated cancellation.

Upon termination: your right to access the Services immediately ceases; any outstanding fees become immediately due; and Sections 7, 12, 13, 14, and 15 survive termination.

You are solely responsible for maintaining independent backups of all data stored on Global Servers infrastructure. The Services are not designed to serve as a primary backup solution, and Global Servers makes no guarantee that data will be preserved in the event of hardware failure, accidental deletion, or account termination.

Upon termination, you will have fourteen (14) calendar days to retrieve any Customer Content, provided the account is not terminated for cause. After this period, Global Servers may permanently delete all Customer Content without further notice. Managed backup services are available as a paid add-on.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLOBAL SERVERS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

GLOBAL SERVERS' TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE CLAIM. IF YOU HAVE PAID NO FEES, GLOBAL SERVERS' LIABILITY SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100.00).

You agree to indemnify, defend, and hold harmless Global Servers and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your access to or use of the Services; any Customer Content; your violation of these Terms or applicable law; or your infringement of any third-party rights.

Any dispute arising out of or relating to these Terms or the Services shall be determined by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Both parties waive the right to a jury trial. Arbitration shall be conducted in English in Wilmington, Delaware.

YOU AND GLOBAL SERVERS AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. To the extent disputes are not subject to binding arbitration, you consent to the exclusive jurisdiction of the state and federal courts in Wilmington, Delaware.

Global Servers reserves the right to modify these Terms at any time. For material changes, we will provide at least fourteen (14) days advance notice via email or a prominent notice in your client portal. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the revised Terms.
